BANCA MONTE DEI PASCHI DI SIENA:
THE BOARD OF DIRECTORS APPROVES THE MERGER BY INCORPORATION OF MPS LEASING & FACTORING AND MPS CAPITAL SERVICES INTO BANCA MPS
Siena, 30 March 2023 – The Board of Directors of Banca Monte dei Paschi di Siena S.p.A. (“BMPS”) has approved the merger by incorporation into BMPS of MPS Leasing & Factoring S.p.A. (“MPSLF” and the “MPSLF Merger”) and MPS Capital Services Banca per le Imprese S.p.A. (“MPSCS” and “MPSCS Merger”).
Also held today were the Extraordinary Shareholders' Meetings of MPSLF and MPSCS, which approved the respective mergers.
The MPSLF Merger and the MPSCS Merger will be effective as of the date established in the respective deeds of merger.
For both the MPSLF Merger and the MPSCS Merger, the execution of the deed of merger and the date on which the mergers become legally effective will be announced to the market in a subsequent press release.
