MPS BANK: EXPANDED THE APPOINTMENT COMMITTEE, ESTABLISHED FURTHER BOARD COMMITTEES AND THE 231 SUPERVISORY BODY
FORFEITURE OF OFFICE OF DIRECTOR CARLO VIVALDI PURSUANT TO ARTICLE 15, PARAGRPH 1 OF THE BY-LAWS
Siena, 4 May 2026 – The Board of Directors of Banca Monte dei Paschi di Siena S.p.A. (the “Bank”), which met today under the chairpersonship of Cesare Bisoni, has, pursuant to article 15, paragraph 1 of the By-Laws (which provides for the immediate forfeiture of office of those serving on the board of directors of a competing bank), declared the forfeiture of office of Carlo Vivaldi, as Director, given that he concurrently holds office as a director of Banca Mediolanum S.p.A..
The Board of Directors has also resolved to proceed with the establishment of the following Board Committees, appointing their respective members:
- Risk and Sustainability Committee, composed of 5 members: Carlo Corradini (Chairperson), Livia Amidani Aliberti, Antonella Centra, Paola De Martini and Massimo Di Carlo;
- Remuneration Committee, composed of 3 members: Livia Amidani Aliberti (Chairperson), Antonella Centra and Paola Leoni Borali;
- Related-Party Transactions Committee, composed of 3 members: Flavia Mazzarella (Chairperson), Patrizia Albano and Fabrizio Palermo;
- IT and Digitalisation Committee, composed of 3 members: Paolo Boccardelli (Chairperson), Carlo Corradini and Paola Leoni Borali.
The Appointment Committee, composed of 5 members, has also been expanded with the appointment of Director Corrado Passera. The Appointment Committee is therefore composed of the latter and Patrizia Albano (Chairperson), Massimo Di Carlo, Paola Leoni Borali and Flavia Mazzarella, appointed on 23 April 2026, as already announced to the market on the same date.
Finally, the 231 Supervisory Body has been established to supervise the matters referred to in Legislative Decree No. 231/2001; it is composed of two external professionals Romina Guglielmetti (Chairperson) and Gianluca Tognozzi, and Director Nicola Maione.
