The Board of Statutory Auditors of Banca Monte dei Paschi di Siena assesses the requirements of the statutory auditors appointed by the Shareholders’ meeting of 6 april 2021
Siena, 6 May 2021 – The Board of Statutory Auditors of the Bank, as competent body pursuant to Ministerial Decree no. 169/2020, has assessed that the Standing Statutory Auditor, Luisa Cevasco, and the Alternate Statutory Auditor, Francesco Fallacara - appointed by the Shareholders’ Meeting of 6 April 2021 - meet the fit and proper requirements provided for by the applicable laws and regulations.
More specifically, said members of the Board of Statutory Auditors meet the independence requirements pursuant to Italian Legislative Decree no. 58/1998 (“Consolidated Finance Act”) and Ministerial Decree no. 169/2020, as well as the Corporate Governance Code (“Code”).
The Board of Statutory Auditors has verified that the requirements are met on the basis of information provided by said members of the Board of Statutory Auditors or, in any case, available to the Bank. In particular, the independence requirements have been assessed according to the criteria established by the Consolidated Finance Act, Ministerial Decree no. 169/2020 and the Code, taking also into account the Joint EBA/ESMA Guidelines, and it has been verified that no situations have emerged pursuant to the aforementioned legislation, nor circumstances that could compromise the independence of said members pursuant to the Code, in particular with regard to any credit, commercial or professional relationships which can be associated with them.
The Board of Statutory Auditors has also assessed there are no material situations pursuant to the legislation on interlocking directorates under Article 36 of Decree Law no. 201/2011 for the Standing Statutory Auditor, Luisa Cevasco, and, with reference to the new appointments held, for the Chairperson of the Board of Statutory Auditors, Enrico Ciai, and the Standing Statutory Auditor, Luigi Soprano.
