BANCA MPS SUCCESSFULLY PLACES A EUR 500 MILLION GREEN TIER 2 SUBORDINATED BOND FOR ITALIAN AND INTERNATIONAL INSTITUTIONAL INVESTORS DEMAND FOR MORE THAN EUR 1 BILLION

Siena, 2 September 2026 - Banca Monte dei Paschi di Siena S.p.A. (the "Bank" or "BMPS") has successfully completed the placement of a new Green Tier 2 subordinated fixed-rate bond. The bond, with a maturity of 10.5 years (due March 2037) and an early redemption option after 5.5 years, was issued for a total of EUR 500 million.

The transaction represents BMPS's third ESG bond issuance since July 2024, bringing the total amount to EUR 1.75 billion, in line with the Montepaschi Group's sustainability strategy. The proceeds of the issue will be used to refinance Eligible Green Projects, as defined in BMPS's Green, Social and Sustainability Bonds Framework.

The annual fixed coupon is set at 4.625% with a re-offer price at 99.509%, corresponding to a spread of 145 bps above the mid-swap rate, 70 basis points tighter than the Bank's previous Tier 2 subordinated issuance completed in July 2025.

The transaction attracted orders for more than EUR 1 billion from leading Italian and international institutional investors. The result confirms the market's confidence in the Montepaschi Group’s trajectory, driven by the integration with Mediobanca and the Montepaschi Group's recently announced growth targets.

Investor demand was broadly diversified both in terms of investor type and geographical distribution, with orders primarily originating from the United Kingdom & Ireland (41%), France (22%), DACH (14%), Italy (13%) and other European countries (10%).
75% of the allocated orders came from investors with ESG commitment.

With this transaction, executed under the Debt Euro Medium Term Notes Programme, the Bank confirms its ability to access international capital markets across all bond market segments and continues to implement the Group's 2026 Funding Plan.

The notes will be issued in dematerialised form and settled through Euronext Securities Milan (Monte Titoli). The expected ratings are Ba2 from Moody's, BB from Fitch and BBH from Morningstar DBRS. The bond will also be listed on the Luxembourg Stock Exchange.

Barclays, BofA SE, Crédit Agricole CIB, Mediobanca, Santander, UBS Europe SE and UniCredit acted as Joint Bookrunners for the transaction.
